Terms and Conditions of Service

The Terms and Conditions of Service (“Terms and Conditions”) for the Yangyuen Application (“Application”) set forth the terms and conditions between Ducky Lucky Logistics Co., Ltd. (“Company”) on one side and the registered users of the Application (“Users”) on the other side, regarding the services provided by the Company through the Application under these Terms and Conditions (“Services”). In these Terms and Conditions, words indicating one gender shall include all genders, words indicating the singular shall include the plural and vice versa, and words indicating individuals shall include groups and vice versa.

By using the Application, Users are deemed to have read and understood these Terms and Conditions and agree to accept them before using the Application.

If Users do not agree to these Terms and Conditions, they will not be able to use the Application.

1. Definitions

“Personal Data” means information about an individual that can identify that person, including but not limited to biometric data, financial data, or any information provided by the User to the Company or authorized by the User for the Company to access from other sources, which can identify the individual.

“Password” means Username, Password, PIN (Personal Identification Number), fingerprint, facial recognition, device password, one-time password (OTP), or any other code related to the use of the Application in a similar manner, regardless of its name.

“Product” means products, goods, and services displayed in the Yangyuen Marketplace, whether from the Company or other service providers.

“Activity” means activities displayed in the Application.

“Health Data” means step count, calories burned, and sleep duration obtained by the User granting permission to access data through Apple Health, Health Connect, Garmin, or Fitbit applications for processing activities in the Application and token distribution.

“Yangyuen Wallet” means the wallet used to store digital tokens on the KUB Chain network.

“Token” means the digital currency unit in the Application on the KUB Chain network.

“Yangyuen Token” means the main token in the Application on the KUB Chain network under the KAP-20 token standard, which can be earned from participating in activities or exchanged from various point tokens, and can be used to purchase products in the Yangyuen Marketplace.

“Point Token” means the main point token in the Application on the KUB Chain network under the KAP-22 token standard, which can be earned from participating in activities. The name of the point token is designed to match each activity type, such as Fit Point Token.

“Yangyuen Marketplace” means the marketplace platform of the Application where users can buy or sell NFTs on the KUB Chain blockchain.

“KUB Chain” means the blockchain network that records all transactions involving tokens, including transfers and purchases in the Yangyuen Marketplace.

“Non-Fungible Token” or “NFT” means a digital token in the Application on the KUB Chain network under the KAP-721 token standard, each of which is unique and non-interchangeable, used in the Yangyuen Marketplace.

“Hall of Fame” means the ranking of users who participate in activities in the Application, with the highest step count or calories burned.

2. General Terms

2.1 Users have read and understood the Company’s Terms and Conditions and agree to accept them before using the Application.

2.2 These Terms and Conditions are part of the Company’s Privacy Policy. The Company may amend or add to these Terms and Conditions at any time without prior notice, except in cases where changes significantly affect Users, in which case the Company will notify Users in advance via in-app notifications or other appropriate means.

Continued use of the Services after such changes take effect constitutes acceptance of the amended Terms and Conditions.

2.3 Updates, features, and/or new services in the Application are subject to these Terms and Conditions.

3. Use of Services

Users agree to use the Application only under these Terms and Conditions.

3.1 Participation in Activities and Earning Tokens

Users can participate in various activities in the Application according to the conditions set by the Company. Users will receive tokens according to the type and number specified by the Application. The Company reserves the right to revoke Users’ rights in case of fraud or suspected fraud in participating in activities or receiving rewards, even retroactively. If fraudulent behavior is detected, the Company reserves the right to revoke rights without prior notice. The Company also reserves the right to remove inappropriate messages or images, such as those with malicious intent, sarcasm, or causing social conflict or harm to third parties or respected institutions, without prior notice. Users grant the event organizer the right to use stories, photos, or videos from this activity for advertising or publicity through any media, without time limitation. The Company owns all intellectual property of this activity.

The following are activities that the Application allows participation in for rewards:

3.1.1 Sustainability Activities organized by the Application or Company

Sustainability Activities can cover all three ESG dimensions (Environmental, Social, Governance) and can be adapted to the context of organizations or communities. Examples include:

Users can join activities via the Application, which will display activity details, locations, start and end times.

Users participating in sustainability activities organized by the Company will receive point tokens according to the conditions specified in the Application.

The conditions and procedures for receiving point tokens are as specified in the Application and may be changed without prior notice.

3.1.2 Internal Company Activities

Activities organized to enhance employee engagement and ownership within the organization, created by various departments.

The Company will create activities via the Application only, displaying details, locations, start and end times, and activity images.

Users participating in company-organized activities will receive point tokens according to the conditions specified in the Application.

The conditions and procedures for receiving point tokens are as specified in the Application and may be changed without prior notice.

3.1.3 Health Activities

Activities that promote users’ health and well-being. Users can participate automatically after installing the Application.

All users must grant permission to access data through Apple Health, Health Connect, Garmin, or Fitbit for processing activities and distributing point tokens.

The conditions and procedures for receiving point tokens are as specified in the Application and may be changed without prior notice.

3.1.4 Special Activities Organized by the Company

For activities not currently supported by the Application, the Company will transfer additional point tokens to users according to the conditions specified for each activity.

3.2 Activity Participation Verification

The Company has two types of activity participation verification:

3.2.1 Time Registration

Users must register by recording their entry and exit times for activities. Upon successful registration, the Application will calculate and distribute tokens as specified. Failure to record exit time will result in incomplete participation and no token reward.

Verification conditions are as specified in the Application and may be changed without prior notice.

3.2.2 QR Code Registration

Users must register by scanning a QR code during the activity. Upon successful registration, the Application will calculate and distribute tokens as specified. Failure to record exit time will result in incomplete participation and no token reward.

3.3 Token Transfers Between Users

Users can transfer tokens to each other without limit. All transferred tokens remain unchanged, and the amount received depends on the conditions specified in the Application. Only whole tokens can be transferred, not fractions.

3.4 Redemption of Products and Services in the Yangyuen Marketplace

Redemption is a benefit for Application users. Only Yangyuen Tokens can be used to redeem products and services in the Marketplace.

For some products and services, the Company is not the manufacturer, distributor, or provider and is not responsible for any defects, damages, or losses.

Products and services are limited in quantity. Users can check availability in the Application. Products and services cannot be exchanged for cash.

Redemption must comply with the conditions specified for each product or service. The Company reserves the right to change conditions or cancel products and services without prior notice. In case of disputes, the Company’s decision is final.

3.4.1 Products in Vending Machines

Users can redeem products at vending machines designated by the Company, using cash or Yangyuen Tokens from the Application.

Conditions and procedures for redemption are as specified in the Application and may be changed without prior notice.

3.4.2 Electronic Voucher Products

Electronic voucher products are provided by companies supporting the Application. Users can read details in the rewards section and redeem using Yangyuen Tokens only.

3.5 Token Donations

Users can donate tokens in their Yangyuen Wallet to foundations listed in the Application. The Company will convert donated tokens into goods at the rate specified in the Application and donate them to the selected foundation.

Donations are accepted during the period specified in the Application. Users must donate via the Application only.

Conditions and procedures for donations are as specified in the Application and may be changed without prior notice.

3.6 Hall of Fame

Users will be ranked based on participation in activities, step count, or calories burned. Conditions and procedures are as specified in the Application and may be changed without prior notice.

3.7 Users can use the Services by registering in the Application as specified by the Company. Users must ensure that the information provided is accurate, truthful, and up to date.

3.8 Users must keep their passwords confidential and secure and not disclose or allow others to access them.

Users accept responsibility for all transactions made using their password. The Company is not liable for any damages or losses resulting from such transactions.

3.9 Users consent to the Company collecting personal data as necessary to provide the best experience. The Company may use, disclose, process, analyze, verify, improve services, fulfill user requests, verify transactions, and for other lawful purposes. The Company will obtain consent before collecting, using, or disclosing personal data where required by law.

The Company will not disclose personal data to third parties except as specified above or as required by law.

3.10 Users acknowledge that once a transaction is confirmed using their password, it cannot be canceled, revoked, or changed, and is binding in all respects.

3.11 Users who are minors may use the Services only with the consent, guidance, and supervision of a legal representative or guardian.

3.12 If Users receive incorrect or incomplete products or services, they can contact the Company at [email protected] 24/7.

3.13 Users agree that processed orders cannot be canceled and tokens for canceled orders cannot be refunded in any case.

4. Content

Users acknowledge that uploading or publishing information, text, or images to the Application (“Content”) grants the Company the right to use such Content, while Users retain their rights to the Content.

The Company’s services include, but are not limited to, text, images, graphics, and similar content on the Application (“Company Content”), which is owned by the Company and protected by intellectual property laws.

Users must not reproduce, copy, modify, alter, add, cut, or use Company Content for commercial purposes.

5. Service Cancellation and Suspension

5.1 Users wishing to cancel the Services may do so as specified. Once the account is canceled, the Company will no longer collect personal data, and Users will not be able to use the Application. The system will retain device identifiers. If the Application is reinstalled, the Company can recognize the device and related transactions.

5.2 The Company reserves the right to suspend or cancel User accounts without prior notice and without compensation if Users or others acting on their behalf:

5.2.1 Infringe intellectual property rights, including but not limited to copyright, patents, trademarks, trade secrets, or other intellectual property, unless authorized in writing by the Company.

5.2.2 Use forged documents or provide false information during registration.

5.2.3 Request cancellation of the Services as per 5.1.

5.2.4 Disrupt or interfere with computer systems by sending viruses or programs designed to disrupt, destroy, or limit system functionality.

5.2.5 Use software, code, or other methods (e.g., trojans, worms, spyware) to disrupt or interfere with the Company’s or third-party systems or to access, copy, or view content without authorization.

5.2.6 Use the Application unlawfully or use tokens for purposes other than those specified in 3.4 and 3.5.

5.2.7 Violate these Terms and Conditions or the Company’s Privacy Policy, including any amendments.

5.2.8 Use the Application in a manner that, in the Company’s sole discretion, causes or may cause disturbance or disorder to other Users.

6. Links to Other Websites/Applications

The Company’s services may include links to third-party applications (“Other Providers”) for Users’ convenience. The Company does not endorse or guarantee the accuracy or ownership of any information from Other Providers. Users access such links or install applications/software/download content at their own risk. The Company is not responsible for the content, information, or actions of Users through Other Providers. In case of errors, Users must contact the Other Providers directly.

7. Intellectual Property Rights

Users agree that all text, images, videos, audio, logos, and any part of the Application, including but not limited to copyrights, patents, trademarks, service marks, trade names, databases, and intellectual property rights (as defined below), as well as information or images uploaded or published by Users, are protected by intellectual property laws and are the sole property of the Company.

Intellectual property rights mean all rights under patent, copyright, trademark, trade secret, and unfair competition laws.

Products, goods, services, company names, trademarks, or service marks appearing on the Company’s services are the property of their respective owners.

8. Language

Translations of these Terms and Conditions into any language are for convenience only. In case of conflict, the Thai version shall prevail.

9. Governing Laws

These Terms and Conditions are governed by and construed in accordance with Thai law. Any disputes arising from or related to these Terms and Conditions, the Privacy Policy, or the use of the Company’s services shall be resolved under Thai law and subject to the jurisdiction of Thai courts.
